Standard Terms of Service

1.1 The following are the standard terms and conditions applicable when engaging our service at Fareez Shah & Partners.

1.2 Unless stipulated otherwise, our professional fees does not include tax and disbursements and out-of-pocket expenses to be incurred in the course of our work, including, where applicable, the fees and expenses of other advisers or agents, traveling, winding up/bankruptcy searches, translation, photocopying, printing, binding, telephone, fax and courier charges and other incidental expenses.

1.3 Our scope of service shall be limited to only the task describe in the fee proposal provided to you.

1.4 In the event, there is a physical meeting request, such services will be charged on an hourly rate of RM350.00/hour.

1.5 Our proposed fee structure is also made on the assumption that there is no change or variation of the scope of works stated in Paragraph 1.3 above. In the event, the assumption is no longer applicable, the proposed fee structure may be revised accordingly.

1.6 Our total liability arising out of or in connection with the services rendered under this arrangement shall be limited to the actual professional fees paid to and received by us only. All indirect, consequential and exemplary damages and losses are excluded.

1.7 By making payment, giving instruction and accepting our service you have signified your agreement to be bound by this term of service. This term of service must also be read together with our Privacy Policy which will also be applicable when using our service.

2.1 It is our policy to issue periodic invoices for our disbursements and expenses as well as services rendered from time to time. We propose that our fees be settled within thirty (30) days of invoices rendered. We reserve the right to issue our invoices at such amounts as and when we deem fit for the services provided.

2.2 Should you be agreeable to our appointment based on our Scope of Work and fee proposal set above, kindly accept the terms and conditions and make the necessary payment. Please be advised that work will only commence upon receipt of full payment and relevant information required from you.

4.1 Pending our agreement with you on the fees chargeable if there is:

• (a) any change in the scope of work for the pursuant to your instructions;
• (b) any material changes in laws or regulations applicable;
• (c) further instructions from you to vary, modify or expand our scope of work; or
• (d) further advisory services, apart from those listed herein, are required of us.

4.2 If for any reason whatsoever the work is aborted, the fees payable to us shall be commensurate with the work done/deliverables provided by us up to the date of notification to us of such event.

4.3 Unless stipulated otherwise, our professional fees are exclusive of the goods and services tax (currently at 6%) and the disbursements to be incurred by us in the course of undertaking our work, including where applicable, telephone charges, search fees, fax and courier charges and other incidental expenses which are to be borne by you.

4.4 We reserve the absolute discretion to refuse service for any reason whatsoever without having to give notice.

4.5 All the above terms and conditions is given based on the following assumptions:

• (a) there will be prompt and complete information and documents of acceptable standard being provided to us on a timely basis by all relevant parties;
• (b) our scope of work will be limited to advising on the laws of Peninsula Malaysia only and will not include any advice on technical, financial, tax, accounting, insurance or operational aspect, and will not involve physical inspection of assets, plant or equipment.

4.6 We only deliver our work within our stipulated operation hour. Any work request outside our usual office hours will be subjected to additional charges.
